Agreement to Terms
By downloading, installing, accessing, or using the Spill mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App. These Terms constitute a legally binding agreement between you and Apurikotto ("we," "us," or "our"). Please read them carefully.
Eligibility Requirements
**Age Requirement**: You must be at least 18 years old to use Spill. The App contains mature content, including 18+ categories with adult themes and language. **Account Accuracy**: If you create an account, you must provide accurate and complete information. **Authority**: By using Spill, you represent and warrant that: • You are at least 18 years of age • You have the legal capacity to enter into these Terms • You are not prohibited from using the App under applicable law • You will comply with all local, state, national, and international laws and regulations If you do not meet these requirements, you must immediately stop using the App.
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to: • Download and install the App on devices you own or control • Use the App for personal, non-commercial purposes This license does not include the right to: • Sell, resell, or commercially exploit the App • Modify, reproduce, or create derivative works • Reverse engineer, decompile, or disassemble the App • Remove or alter any proprietary notices • Use the App in any way that violates applicable law
User Content & Ownership
**Your Content**: You retain ownership of all circles, player names, and data you create in Spill ("User Content"). **License to Us**: By creating User Content, you grant Apurikotto a non-exclusive, worldwide, royalty-free license to: • Store and process your User Content to provide the App's functionality • Display your User Content within the App • Backup and sync your User Content across your devices This license terminates when you delete your User Content or account. **Your Responsibility**: You are solely responsible for your User Content. You represent that: • You own or have the necessary rights to your User Content • Your User Content does not violate these Terms or applicable law • Your User Content does not infringe third-party rights
User Conduct & Prohibited Activities
**Acceptable Use**: When using Spill, you agree to: • Be respectful when creating player names and circles • Use the App only for its intended purpose (party game) • Respect the privacy and rights of other users • Comply with all applicable laws and regulations **Prohibited Activities**: You may NOT: • Create offensive, abusive, harassing, or discriminatory content • Impersonate any person or entity • Use the App for any illegal or unauthorized purpose • Attempt to gain unauthorized access to our systems • Interfere with or disrupt the App's functionality • Use automated scripts, bots, or scrapers • Reverse engineer, decompile, or disassemble the App • Sell, transfer, or sublicense your account • Collect or harvest user information without consent • Use the App for commercial purposes without our written permission • Violate any intellectual property rights • Transmit viruses, malware, or harmful code • Circumvent any security features or access controls Violation of these rules may result in immediate account termination.
Subscriptions & In-App Purchases
**Subscription Terms**: Spill offers optional premium subscriptions and in-app purchases ("Premium Features"). **Billing**: • Subscriptions are billed through your Apple App Store account • Payment is charged at confirmation of purchase • Subscriptions auto-renew unless canceled at least 24 hours before the current period ends • Renewal charges are processed within 24 hours before the current period ends • You can manage or cancel subscriptions in your App Store account settings **Pricing**: • Prices are subject to change with notice • Price changes apply to new subscriptions and renewals after notice • Current subscribers will be notified of price changes in advance **Refunds**: • All purchases are processed through Apple's App Store • Refund requests must be submitted through Apple's refund process • We do not have access to process refunds directly • Refunds are subject to Apple's policies and discretion **Cancellation**: • You can cancel your subscription at any time • Cancellation takes effect at the end of the current billing period • No partial refunds for unused portions of a subscription period • You retain access to Premium Features until the end of your paid period
Intellectual Property Rights
**Our Ownership**: All rights, title, and interest in the App and its content (excluding your User Content) are owned by Apurikotto. This includes: • App design, code, and functionality • Prompt content and categories • Trademarks, logos, and branding • Graphics, images, and visual elements • Text, copy, and written content • Algorithms and technical implementations **Trademarks**: "Spill," the Spill logo, and other marks are trademarks of Apurikotto. You may not use our trademarks without prior written permission. **Copyright**: The App and its original content are protected by copyright laws. Unauthorized reproduction, distribution, or derivative works are prohibited. **Feedback**: If you provide feedback, suggestions, or ideas about the App, we may use them without obligation or compensation to you.
Third-Party Services
Spill integrates with third-party services including: • Firebase (Google): Authentication, database, analytics, crash reporting • Sentry: Error tracking and performance monitoring • RevenueCat: Subscription management and payment processing • Apple Sign-In: Authentication • Google Sign-In: Authentication Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
Disclaimers & Limitations of Liability
**"AS IS" Disclaimer**: SPILL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • Warranties of merchantability or fitness for a particular purpose • Warranties of non-infringement • Warranties that the App will be uninterrupted, secure, or error-free • Warranties regarding the accuracy or reliability of content **Limitation of Liability**: TO THE MAXIMUM EXTENT PERMITTED BY LAW: • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, DATA, OR USER CONTENT • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM • WE ARE NOT LIABLE FOR APP MALFUNCTIONS, BUGS, OR DATA LOSS • WE ARE NOT LIABLE FOR DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT **App Availability**: We do not guarantee that the App will always be available, uninterrupted, or error-free. We may suspend or discontinue the App at any time. **User Responsibility**: You are responsible for: • Maintaining the confidentiality of your account • All activity under your account • Backing up your User Content • Ensuring compatibility with your device
Indemnification
You agree to indemnify, defend, and hold harmless Apurikotto, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: • Your use or misuse of the App • Your violation of these Terms • Your violation of any third-party rights • Your User Content • Your violation of applicable laws or regulations This indemnification obligation survives termination of these Terms.
Termination
**Termination by You**: You may stop using the App at any time. You can delete your account through the App settings. **Termination by Us**: We reserve the right to suspend or terminate your access to Spill at any time, with or without notice, for: • Violation of these Terms • Illegal or fraudulent activity • Abuse or misuse of the App • Any other reason at our sole discretion **Effect of Termination**: Upon termination: • Your license to use the App immediately ends • We may delete your account and User Content • You must stop using the App and delete all copies • Sections that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will continue to apply **App Discontinuation**: We reserve the right to permanently discontinue the App with 30 days' notice. In such case: • Active subscriptions will be canceled • Refunds (if any) will be processed according to our refund policy • You should export your User Content before the discontinuation date
Dispute Resolution & Arbitration
**Informal Resolution**: Before filing a claim, you agree to contact us at [email protected] to attempt informal resolution. **Arbitration Agreement**: Any dispute arising from these Terms or the App will be resolved through binding arbitration, rather than in court, except that: • You may assert claims in small claims court if your claims qualify • Either party may seek injunctive relief in court for intellectual property infringement **Arbitration Rules**: • Arbitration will be conducted by a neutral arbitrator • The arbitrator's decision is final and binding • The arbitration will be governed by applicable commercial arbitration rules **Class Action Waiver**: YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. **Jury Trial Waiver**: You waive your right to a jury trial.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any legal action or proceeding (excluding arbitration) shall be brought exclusively in the federal or state courts located in the United States, and you consent to the personal jurisdiction of such courts.
Apple App Store Terms
**Acknowledgment**: You acknowledge that: • These Terms are between you and Apurikotto, not Apple • Apple has no obligation to provide maintenance or support for Spill • Apple is not responsible for addressing any claims by you or third parties relating to the App • Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the App infringes intellectual property rights • You must comply with applicable third-party terms when using the App (e.g., your wireless data service agreement) **Apple's Rights**: • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms • Upon your acceptance of these Terms, Apple has the right to enforce these Terms against you as a third-party beneficiary **App Store Rules**: Your use of the App must comply with the Apple App Store Terms of Service.
Changes to These Terms
We may update these Terms from time to time. When we make changes, we will: • Update the "Last Updated" date at the top of this document • Notify you via email or in-app notification for material changes • Post the updated Terms on our website and in the App Your continued use of Spill after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App. For material changes that significantly affect your rights, we may require you to affirmatively accept the new Terms before continuing to use the App.
Miscellaneous
**Severability**: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. **No Waiver**: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. **Assignment**: You may not assign or transfer these Terms or your rights under them. We may assign these Terms to any affiliate or successor. **Entire Agreement**: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apurikotto regarding the App. **Force Majeure**: We are not liable for any failure to perform due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, government actions). **Export Compliance**: You may not use or export the App except as authorized by U.S. law and the laws of the jurisdiction where you obtained the App.
